Association’s constitution

 

Chapter I: Overview and objectives

Article 1: In order to advance and promote the science and the development of quantitative and qualitative manpower and enhance the educational and research activities in the fields of geopolitics, Iranian Association of geopolitics, that henceforth is called the Association, is formed.

Article 2: Association is nonprofit and is involved in scientific and research activities and since its foundation, has legal personality and chairman of the board is the legal representative.

Article 3: Community Centre is in Tehran,Somayye Street, next to Sepehr Tower-Khagani Building, Western Entrance,and The sixth floor has 46 units and branches of the associations can be formed in every region of the countryagreed by the Commission.

Article 4: The association is founded for an indefinite period of time since its approval and must abide by the laws of the Islamic Republic of Iran.

Chapter II - Duties and Activities

Article 5: In order to achieve the objectives stated in Article (1) of the Statute, the Board shall take the following actions:

2-5 - Cooperation with executive agencies, scientific, research, evaluation and review of the executive projects and programs related to education and research activities in the field of scientific topics.

3-5 - Encouraging and celebrating outstanding researchers and professors in the field

4-5 - Provide educational and research services.

5-5 –Holding national, regional and international conferences.

6-5 - Publishing scientific books and journals.

Chapter III - Types and Conditions for Membership

1-6 –Continued Membership

Association founders and people who have at least master's degree in the field of political geography and geopolitics and related disciplines can join the Association.

2-6 - Associate membership: those who have M.A degree and peopled employed for five years in one of the fields mentioned in paragraph 1-6.

1-2-6 - distinguished affiliated members of the Association can become associate members after the approval of Admissions Committee.

3-6 - Student membership:

All students who are studying in the fields of political geography and geopolitics can register.

4-6 - Honorary Membership:

Iranian and foreign figures whose academic positions are of particular importance in the field of political geography and geopolitics, and who contribute to the goals the Association's.

5-6 –Legal Members:

Organizations that are active in the fields of scientific research are able to join the forum.

Note: Associational members are dependent agencies as members.

Article 7: Each member will pay a membership fee determined by the General Assembly for each type of membership.

Note 1: Paying membership fee to join the Association does not create any right or claim to the property.

Note 2: Honorary members of the association are exempt from paying dues.

Article 8: Membership is ended in one of the following cases:

1-8 -  Written resignation and submission to the board.

2-8 – Negligence in paying the fee after the written notice by the Head of the Boarder of Directors.

Note: The Board has the right to end them membership.

Chapter IV –Association Constituents:

Article 9: The main constituents are:

A)The General Assembly

B) The Board of Directors

C) The Reviewers

A) General Assembly

Article 10: The General Assembly consists of ordinary or extra meeting of the members.

1-10 - Ordinary general meeting is held once a year, and is valid in the presence or vote of half plus one of the members of the Association and decisions are valid by the majority vote.

2-10 –If at the first invitation, the General Assembly was not recognized, the second session will be held immediately after at least one month, and it is recognized by many in attendance.

3-10 - Extraordinary general meeting is called in cases of emergency or by written request of the board or inspection constituted one third of the members.

 Note 1: General meetings can be announced in written form or in newspaper advertisements and should be announced 15 day prior to the meetings.

 Note 3: If the above note is applied, the public hearing shall be exclusively subjective listed in the application. And board members will be elected from among the assembly.

 Article 11: Responsibilities of the main and extra-schedule general assembly 

 1-11 - Select Board members and Reviewers

 2-11 – Approving board policy

 3-11 - Review and approve the recommendations of the board of reviewers.

 4-11 – Approving the amount of dues and the balance sheet.

 5 -11 - Approving changes to the articles of association.

 6-11 - Dismissing the board of directors and reviewers

 7-11 - Approved the dissolution of the Association.

 8-11 - Review and approval of the balance sheet and income and expenditure account over the past year and the coming year's budget forum.

 Note 1: The general assemblies are managed by the Board consisting of a president, a secretary and two supervisors.

 Note 2: Board members are elected at the convention with the announcement of his nomination.

 Note 3: Board members should not be the ones who are candidates in the election of the board of inspectors.

 Note 4: The extra general meeting is formed in order to decide on major issues, particularly in paragraphs 5-11 and 6-11 and 7-11.

 

B) Board of Directors

 Article 12: The Board of Directors consists of five members and two substitute members. And they are elected every two years by secret ballot among the members of the Association.

 1-12 -Members of the board cannot be elected more than twice consecutively.

 2-12 – Membership in the board is honorary.

 3-12 –The board of directors should arrange a meeting and elect its president, vice president and secretariat treasury secretary and specify its responsibilities. 

 4-12 - All documents are valid after binding upon and signed by the president and treasurer of bonds and stamped with the official letter signed by the Chairman or Vice Chairman of the Board.

 5-12 - The board of directors are required to meet once a month. Date of Meeting between invitation letter and telephone is at least three days.

 6-12 - Board meetings attended by the majority of members will be recognized and a decision is valid by the majority vote.

 7-12 - All decisions of the board and then the signing of the minutes of the board members are kept in the office.

8-12 – It is necessary for the members to attend the meetings, otherwise their name will be marked as absents.

 9-12 - In the event of resignation, removal or death of any one of the board members, a substitute, for the remaining period of membership, will be appointed to replace him.

 10-12 - Co-investigators are permitted at board meetings without voting rights.

 11-12 – The Board of Director is required to announces the new Board of Directors at most 4 months prior the end of its encumbrance and send the results along with the minutes of the General Assembly to the Commission of Scientific Conferences for investigation.

Note: The prior Board of Directors prior is responsible for the association until the approval of the new one by the Commission of Ministry of Science, Research and Technology will be responsible for the association's responsibility.

 Article 13: The Board of Directors is the legal representative of the Association and its functions are as follows:

 1-13 - Current Affairs Society constitution and decisions of the General Assembly.

 2-13 - Association of scientific groups, assign tasks and monitor their activities.

 3-13- The Directory Board has the authority to consider any action necessary to deal on the transfer of non-transferable property of the association and renewal or hypothecation and redemption except transferring certain immovable property which require the approval of the General Assembly.

4-13 - except on matters Statute decisions and acting on them in a particular jurisdiction is the general assembly, board of directors, subject to compliance with all powers necessary to go to the affairs of the subject of board is capable of.

 5-13 - Prepare the annual report and the financial balance sheet and statement of revenues and expenditures in the General Assembly and presentation to the Board for approval of the supervisory authority in time.

 6-13 – Accepting claims and responding to filed suit and authorities by natural or legal persons in all stages of the proceedings with the right to hire a lawyer and the right to be a lawyer for someone else.

 7-13 - Selected and introduced representatives of national and international scientific community

 8-13 - Implementation of projects and programs within the community functions.

 9-13 - Win gifts and donations

 10-13 - Educational scholarship and research.

 11-13 - Decisions about membership in community associations and international associations in accordance with the laws and regulations of the country.

 12-13 - Submit required reports to the Ministry of Science, Research and Technology Commission associations.

 13-13 - Acceptance of membership in the Association.

 

C) Inspectors

Article 14: Ordinary General Assembly selects two investigators one as the principal and the second person as a substitute for two years.

Note: investigators re-election for a consecutive period longer is permitted.

Article 15: Functions of auditors as follows:

1-15 - Checking Association books and records and report to the General Assembly

2-15 – Checking the annual report of the board of directors and reporting to inform the General Assembly of the Association.

3-15 – Reporting any violation of the provisions of the Statute, the General Assembly by Board of Directors to the General Assembly.

Note: All documents, including financial and non-financial associations and unconditionally at any time by the Board shall be available for review by auditors.

 

Chapter V - Scientific Groups Forum

 Article 16: Community groups and committees can be formed on the basis of the duties that will be determined by the Board.

 A) Scientific groups

 - Scientific expert groups in accordance with the relevant trends

 - Concepts, terminology, and methods of making the same group

 B) Administrative units

 - Committee on Research and research training

 - Publications Committee

 - Committee on Statistics

 - Committee on Admissions and Public Relations

 - Scientific Committee meetings

 - Committee of Public Relations and Advertising

 

 Chapter VI - Budget and Other

 Article 17: Community resources include:

 1-17 - Membership dues

 2-17 - Revenue derived from providing counseling services for education and research

 3-17 -  Receipt of gifts and h aids

 4-17 - All revenue and earnings will be spent to the needs of the Association in Article 5 of this Agreement.

Article 18: All earnings and expenses of the association will be recorded and after approval will be sent to the commission of 

 Article 19: All funds of the Association's bank account will be kept in the name of the Association.

Article 20: None of the founders or investors has the right to make any profit and their relatives cannot involve in any business with the organization.

 Article 21: All documents and records relating to financial and non-financial activities of the Association are kept in the central office board or supervisory and will be available to the supervisors.

 Article 22: Any modification in the Statute is valid only after the approval of the Commission approved associations Ministry of Science, Research and Technology.

 Amendment 23: The journal has allegiance to Iranian Government and its members do not have the right to engage in political activities under the association’s name.

 Article 24: In case of dissolution of the Association, adopted by the General Assembly, the Assembly Commission will elect the Board to pay the debt and collection. The Board is required to post liquidation debt collection and payment of all movable and immovable assets of the Association under the supervision of the Ministry of Science, Research and Technology and will be transferred to one of the country's educational or research institutions.

 Article 25: The Statute consists of 6 chapters and 25 articles, 57 sub-articles and 15 amendments which were approved in the session of the General Assembly of the Association.
